Terms of Service

Article 1 (Application)
These Terms of Service (hereinafter referred to as "these Terms") define the conditions for using the RE:FON service
(hereinafter referred to as "this Service") provided by Humancore Co., Ltd. (hereinafter referred to as "the Company").
Registered users (hereinafter referred to as "Users") shall use this Service in accordance with these Terms.
Article 2 (User Registration)
1. For this Service, user registration is completed when a prospective registrant agrees to these Terms,
applies for user registration using the method specified by the Company, and the Company notifies the
prospective registrant of this approval.
2. The Company may decline to approve user registration applications if the applicant falls under any of
the following circumstances, and bears no obligation to disclose any reasons for such decline.
- When false information is provided during user registration application
- When the application is from someone who has previously violated these Terms
- When the Company otherwise deems user registration inappropriate
Article 3 (Email Notification Function)
1. This Service sends email notifications in the following cases for smooth service operation:
- Notifications when new requests are registered
- Notifications when new messages are received in chat
- Notifications regarding account approval or rejection
- Other notifications important for service operation
2. Users agree to receive new request notifications and chat message notifications when registering.
Consent to these notifications is mandatory, and if refused, we will decline use of this Service.
3. The frequency of notification emails is appropriately controlled to reduce system load.
Notifications from the same chat room are limited to once per hour, and low-priority notifications may be delayed.
Article 4 (User ID and Password Management)
1. Users shall properly manage their User ID and password for this Service at their own responsibility.
2. Users may not transfer, lend, or share their User ID and password with third parties under any circumstances.
Article 5 (Prohibited Actions)
Users must not engage in the following actions when using this Service:
- Actions that violate laws or public order and morals
- Actions related to criminal activities
- Actions that infringe copyright, trademark rights, and other intellectual property rights included in this Service
- Actions that destroy or interfere with servers or network functions of the Company, other Users, or other third parties
- Commercial use of information obtained through this Service
- Actions that may interfere with the operation of the Company's services
- Actions constituting or attempting unauthorized access
- Other actions that the Company deems inappropriate
Article 6 (Confidentiality and Anti-Imitation Clauses)
Important Confidentiality Obligations
By using this Service, you are deemed to have agreed to the following confidentiality agreement and anti-imitation clauses.
These clauses continue to apply even after service termination.
1. Definition of Confidential Information
"Confidential Information" in these Terms refers to technical information, business information, know-how,
system specifications, customer information, pricing information, transaction conditions, and all other
information disclosed by the Company or other Users through this Service.
However, the following information is excluded:
- Information already publicly known at the time of disclosure
- Information that becomes publicly known after disclosure through no fault of the User
- Information legitimately possessed by the User before receiving disclosure
- Information lawfully obtained from third parties with legitimate authority
2. Confidentiality Obligations
Users shall comply with the following:
- Not to disclose or leak confidential information to third parties
- Not to use confidential information for purposes other than this Service
- To disclose confidential information only to company officers and employees who need to know
- To return or destroy confidential information upon request by the Company
3. Prohibition of Imitation, Reverse Engineering, etc.
Users must not engage in the following actions based on confidential information:
- Developing, providing, or selling similar products, services, or systems based on confidential information
- Performing disassembly, decompilation, reverse engineering, or other analysis of provided programs, specifications, etc.
- Having third parties develop, provide, or sell products or services using confidential information
4. Intellectual Property Protection
All intellectual property rights including copyrights, patent rights, trademark rights, know-how, and others
contained in information disclosed in connection with this Service belong to their respective rights holders,
and Users must not infringe or use them without authorization.
5. Confidentiality Period
Users are obligated to maintain, not disclose, and not use confidential information for 3 years
even after termination of this Service use.
6. Damages
If a User violates this Article, the Company may claim compensation from such User for all damages
(including lost profits) incurred directly or indirectly.
Article 7 (Suspension of Service Provision)
The Company may suspend or interrupt provision of all or part of this Service without prior notice to Users
when it determines that any of the following circumstances exist:
- When performing maintenance, inspection, or updates of computer systems related to this Service
- When service provision becomes difficult due to force majeure such as earthquakes, lightning, fires, power outages, or natural disasters
- When computers or communication lines stop due to accidents
- When the Company otherwise determines that service provision is difficult
Article 8 (Usage Restrictions and Registration Cancellation)
1. The Company may restrict User access to all or part of this Service or cancel User registration without prior notice
if Users fall under any of the following categories:
- Violation of any provision of these Terms
- Discovery of false information in registration details
- Non-performance of payment obligations for fees
- No response to Company communications for a certain period
- No use of this Service for a certain period since last use
- When the Company otherwise determines that use of this Service is inappropriate
2. If a prolonged period of no inquiries or continued non-login status persists, the Company may restrict account usage based on the provisions of the preceding paragraph.
Article 9 (Disclaimer of Warranties and Limitation of Liability)
1. The Company makes no express or implied warranties that this Service is free from factual or legal defects
(including defects, errors, bugs, rights infringements, etc. related to security, reliability, accuracy,
completeness, effectiveness, fitness for specific purposes, security, etc.).
2. The Company bears no responsibility for any damages arising to Users from this Service.
3. Regarding transactions conducted through this Service, the Company shall bear no warranty or liability for any discrepancies in understanding, misunderstandings, or complaints arising from information not listed in the request tab. Users agree that transaction decisions shall be based solely on the information listed in the request tab.
Article 10 (Payment Methods)
1. The payment method for transactions conducted through this Service shall, in principle, be advance payment.
Users shall pay the amount by the prescribed method by the date specified by the Company or the transaction counterparty.
2. In individual transactions, payment by deferred payment may be agreed upon only after consultation between
the User and the transaction counterparty and approval by the Company as appropriate.
3. If payment is not made even after the payment due date, the User shall pay late payment damages at a rate of
14.6% per annum on the unpaid balance from the day following the payment due date until full payment is made.
4. In the event of a dispute regarding payment, the parties shall consult in good faith to resolve the matter,
and the Company shall not bear any direct involvement or compensation obligations.
Article 11 (Service Content Changes)
The Company may change the content of this Service or discontinue provision of this Service without notice to Users,
and bears no responsibility for damages caused to Users thereby.
Article 12 (Terms of Use Changes)
The Company may change these Terms at any time without notice to Users when deemed necessary.
After changes to these Terms, Users who begin using this Service shall be deemed to have agreed to the changed Terms.
Article 13 (Personal Information Handling)
The Company shall appropriately handle personal information acquired through use of this Service
in accordance with the Company's "Privacy Policy."
Article 14 (Notifications and Communications)
Notifications and communications between Users and the Company shall be conducted using methods specified by the Company.
The Company shall consider currently registered contact information as valid and send notifications or communications
to such contact information unless Users submit change notifications following procedures separately specified by the Company,
and these shall be deemed to have reached Users at the time of transmission.
Article 15 (Prohibition of Rights and Obligations Transfer)
Users may not transfer their position in the usage contract or rights or obligations based on these Terms
to third parties or use them as collateral without prior written consent from the Company.
Article 16 (Governing Law and Jurisdiction)
1. These Terms shall be governed by and construed in accordance with the laws of Japan.
2. Any disputes arising in connection with this Service shall be subject to the exclusive jurisdiction
of the courts having jurisdiction over the location of the Company's head office.
